This role is based in our Melbourne office with Hybrid working arrangement.
Role Purpose
Reporting to the Head of Origination, the Structurer/Structuring Manager is responsible for working in collaboration with originators to structure, execute and implement non-standard energy contracts. The Structurer/Structuring Manager is required to work with other customer and market facing teams to ensure the transactions and products origination is developing are well suited to the business’ needs.
Key Responsibilities:
- Deal Structuring and Delivery:
- Working closely with deal originators, lead the structuring of non-standard energy contracts covering PPAs, Tolling Agreements (virtual or financial), BESS Tolling (both Physical and Virtual) Agreements, C&I Corporate PPAs, and other bespoke derivative transactions as they arise.
- Responsibilities include, but may not be limited to, concept/product development, drafting and development of term sheets, drafting and negotiation of long form contracts, and post contract implementation.
- Work closely with key stakeholders across, pricing, trading, market risk, credit risk, retail, operations, and finance teams, to ensure value drivers or risks, are accurately reflected into proposed deal structures and final contracts.
- Working closely with the Originator, legal (either in house and/or external) to take a transaction through from term sheet to long form contract.
- Support deal originators in the non-standard deal approvals process, in line with internal policies and mandates.
- Own contracts post execution, taking responsibility for all aspects of deal implantation and documentation, including non-principal agreements with guarantors, secured financiers, and other entities as required. As well as working with IT team to develop the right IT solution to record the contracts in the Energy Trading Risk Management systems.
- Take responsibility for handing over the contract to BAU teams in trading, risk and settlements and ensuring smooth implementation into internal processes and systems.
- Product Development:
- Work with trading, origination, and retail to design new products (such as corporate PPAs, Managed Energy Services, and Progressive Purchasing Agreements) which add value to SmartestEnergy and our customers, whilst acting as a control point, to ensure these products also align with the capabilities and strengths of the business.
- Stakeholder Management:
- Build relationships with key stakeholders in the Trading, Retail and Risk groups based on transparency and trust.
- Report to origination, trading and risk forums as necessary on contract status and risks.
- Supporting the Business: Share expertise and knowledge with the wider organisation, to foster a collaborative and high-performance culture.
Performance Indicators:
- Deal flow – Managing multiple transaction processes and multiple stakeholders (internal and external) at any given time, in a fast-paced growth environment.
- Contract Performance – Ensuring all aspects of contracts (excluding financial performance which is the responsibility of traders/originators), reflect internal approvals and operate well for both counterparty and SmartestEnergy.
- Customer/Counterparty Satisfaction - including independent generation, wholesale and or C&I customers.
- Compliance with internal procedures and processes – ensuring no breaches of process during the transaction process.
- Transparent and Concise Reporting – ensuring that reporting to internal stakeholders is concise and transparent and captures the various workstreams of origination.
Experience:
Essential:
- 5-10 years’ experience in a commercial role within the energy industry, ideally in a front or middle office energy trading role, at a major utility, bank, transaction adviser or prominent law firm.
- Extensive experience of dealing and collaborating with internal stakeholders and cross functional teams and externally with counterparties and external legal counsel.
- Extensive experience of term sheet and long form contract drafting relating to PPAs, Tolling Agreements, Route to Market Arrangements, bespoke derivatives of ISDA terms and structured C&I deals (such as corporate PPAs, Managed Energy Services, and Progressive Purchasing Agreements).
- Track record of owning the process of taking bespoke contracts from concept to contract, working with internal and external legal counsel.
- Track record of taking contracts from execution to implementation and managing the operational handover to internal teams across trading, risk, and finance.
Desirable:
- Experience of security documents, such as Letters of Credit, Parent Company Guarantees and direct or tripartite agreements with project financiers.
- Experience in managing disputes that arise under existing contracts, including interaction with internal and external counsel.
Knowledge:
- Excellent knowledge of the various financial and physical PPA and CPPA contracting structures available, including “market standard” commercial positions.
- Understanding of standard commercial arrangements in the NEM, covering generation, wholesale trading and retail.
- Strong understanding of standard trading arrangements, for example ISDAs and the associated supports annexes.
- Understanding of Battery Energy Storage Systems (BESS) from a commercial and contractual perspective, for example structuring tolling agreements on either a physical or virtual basis.
- Understanding of market risks such a price, volume and shape, and the mechanisms to manage these in structured contracts.
- Strong understanding of the project development process for solar, wind and energy storage in the NEM
- An understanding of counterparty credit risk, potential future exposures which may be created under structured contracts, and how to contractually mitigate these risks.
